We, Grozent, thank you for visiting our website www.grozent.com ("Site" or “Platform”). Your terms of use of our Site shall be governed by the terms and conditions as set out herein ("Terms of Use"), our privacy policy ("Privacy Policy") and all other policies on our site. Your use of our Site constitutes your full agreement to our Terms of Use, our Privacy Policy and all other policies , which shall form a legally binding and enforceable contract between you(“you”, “user” or “buyer”) and "Grozent Global Sdn Bhd” , incorporated in Malaysia and hereinafter referred to as ("Grozent”, "we", “us" , "our" or "Company"). If you do not accept any provision in our Terms of Use or our Privacy Policy, you should immediately cease all usage of our Site and notify us to discontinue any updates which you have signed up for, failing which you shall be deemed to be bound by all the provisions contained in our Terms of Use, Privacy Policy and all other policies.

We reserve the right not to process any order or purchase of goods or services in respect of our "Grozent", "Buy-For-Me" and "Ship-For-Me" services (collectively called “Services").  Your placing an order for goods or services is subject to our acceptance and we reserve the right to discontinue at any time the processing of your order even after acceptance by us and such discontinuance shall be without any liability to us save for refunds based on our refunds policy set out below. You agree to bear any additional fees based on your requests including but not limited to your cancellation of order, customisation requests.

Grozent, Buy-For-Me

For products sold under our grozent or bought through Buy-For-Me, the agreement for the sale is directly between the vendor of the products who may be a third party seller and the buyer. We are not directly involved in the transaction between the buyer and such sellers.

We do not control and is not liable to or responsible for the quality, safety, legality or availability of the products offered for sale on our site or purchased on behalf of buyers, or the ability of the sellers to complete a sale or the ability of buyers to complete a purchase.

Ship-For-Me

With regards to our "Ship-For-Me" service, we are acting as your shipping agents after you have bought the goods yourself. 

1. Update of User Agreement

We may amend this Agreement any time by posting an updated version at our Site. The updated version of this Agreement shall take effect immediately upon posting. By continuing to use us, you agree that the amended terms will apply to you. We reserve the right to review and make changes to all the terms & conditions, policies, promotion details any time with or without prior notice, at our sole discretion.

2. Member Account

To use our Services, you must register with us by creating an account ("Account") on the Site. You agree to provide honest, complete and updated information about yourself, including but not limited to your registration, payment and parcel collection details. If we have reasonable grounds to suspect that the information and/ or data you have provided is misleading, inaccurate or fraudulent, we reserve the right to suspend and/ or terminate your use of our services.   You shall be solely responsible for maintaining the confidentiality of the information and activities of your account. The sharing of your Account with other persons may cause irreparable harm to us and we shall be indemnified against any loss or damages, including but not limited to loss of profits suffered as a result of the mishandling/ misuse of an Account. You shall not create multiple user accounts with the intent to, including but not limited to, abusing our staff or misusing our services. The Company shall not be liable for any loss or damages arising from your failure to comply with this paragraph.

3. Personal Data (Incorporation of Privacy Policy)

You agree that we may collect, hold, use and transfer your personal data in accordance with the Privacy Policy of the Site.

4. Content of Services

a. Together with the product collections offered on ezbuy.my, we also allow users to purchase goods from other e-commerce sites through our platform. In spite of the transaction occurring on www.grozent.com, the legally binding and enforceable contract of the purchase is directly between the Seller and the Buyer. We are not responsible for the accuracy of descriptions and quality of the items you engage us to purchase or ship. You agree that by using the Services, you fully understand the content of the Services in our Quick Guide. The Company will not be liable in any way for any additional requests out of the content of the Services listed. You also agree that you will bear the responsibility for any exporting or importing tax, duty, license, permit, additional processing cost or documents requested by exporting or importing country’s government agency, or any other loss or consequence caused by your items.

b. We reserve the right to archive or remove cancelled/completed orders that are more than 6 months old from the date of order submission, for the purpose of maintaining the stability of our platform.

6. Displayed Products on our Site

Certain displayed items on our Site ("Products") are uploaded by Sellers and are not manufactured/ sold/ endorsed by our Company. It is presumed that you have full knowledge and understanding of the details of the Products you are purchasing upon submission of your order, as we will not be liable for any after-sales issues resulting from misinterpretations of the descriptions and prices of the products purchased.

1. Product Price & Domestic Shipping Fees

   While most Product details are accurate, there may exist some with typographical errors/ discrepancies/ mistakes due to reasons including but not limited to multiple SKUs on a single page, bundling of SKUs, inclusion of customisation services. If there is a difference in the price, we will inform you as soon as possible and we will give you the option to top-up the order’s price difference and reconfirm the order at the correct price, or to cancel the order. We cannot guarantee the accuracy of Product information, including but not limited to price and stock availability. In circumstances where the order cannot be fulfilled by Seller, it may be cancelled and refunded.

2. Price Negotiation and Order Amendment

   You may contact the Seller on your own or through us to negotiate and agree on a discounted price. When you submit orders to us, please indicate the agreed price and identification you have used to communicate with the Seller so that they know that we are purchasing on your behalf. It is encouraged to not contact the Seller for any amendments once your order has been submitted to us. This is such that there would not be confusion in our inspection process. Should you require any amendments, you may contact us to liaise with the Seller for you. We will not be liable for the after-sale issues resulting from confusion of the Product purchased due to such amendments of your own accord.

3. Availability

   Products on our site that indicate a certain level of stock do not necessarily guarantee their availability. We reserve the right to cancel existing orders or discontinue the sale of the product without notice. Please refer to our Quick Guide for full details of our Shipping Restrictions

4. Alternatives

   Alternatives may be stated in Special Remarks/Instructions when submitting your order to us. Such alternatives should be a different SKU option under the same URL, and not an entirely new URL.

5. Translation

   Some Products on our Site are translated to English for a rough reference only. Please refer to the original Seller website so that you have full awareness of the Product before purchasing. Should there be any queries, you may check with our Customer Service team before submitting the order.

6. Shipping Restrictions

   We reserve the right to change or disallow certain international shipping methods for products that are prohibited due to certain conditions, including, but is not limited to their length, volume, weight, or if the product bears the logo of international brands.

7. Issues with Product Usage

   We are not liable for problems arising from product usage, including but are not limited to damage, injury, safety issues. Please refer to our Inspection Coverage and Refund Policy for more details.

7. Purchase and Payment

We support the following payment methods:​

• A. Bank Transfer

  You may make payments through an Automated Teller Machine or internet bank transfer to our designated bank account. You must provide us with the transfer details, and receipt or payment transaction reference for verification purposes through the ‘Top-up Request’ function found in our app and website as payment confirmation.

• B. Payment gateway

8. Account balance

a. Account balance refers to the cash balance bound to each user’s Account. All payments or top-ups, refunds or offsets are adjusted from the Prepay, and are non-transferable between Accounts. Cash vouchers credited to the Prepay may not be withdrawn.  We reserve the right to reverse or adjust a Prepay top-up if it does not match the actual amount transferred from you. You agree to provide additional documentation to grozent, including but not limited to updated bank statements, for us to verify the authenticity of requests made through your account.

b. You may at any time request to withdraw the remainder in your account balances to a bank account if there is no pending payment. The requested amount shall be remitted to the bank account in 5 or 12 working days respectively.(charges may applied)

1. Existing unprocessed payments tied to the account
2. Withdrawal request amount is greater than the amount in Prepay or actual top-up amount by user
3. Top-up payment method is different from the withdrawal method

We reserve the right to not proceed with the withdrawal request should the conditions be unmet.

9. Promotions

• a. Our promotions

We may run promotions, subject to additional terms and conditions, which can be found on the Site and are hereby incorporated by reference into these Terms of Use. The terms and conditions of the individual promotion has to be met before orders can be eligible.

• b. Seller promotions

Third-party sellers may run promotions including but not limited to limited-time sales, member-only discounts and promotion codes. We are under no obligation to place your order within a stipulated time, and we shall not be held liable should the order not be placed within the promotion period. 

Users would be notified of the price difference, and they will be given the option to top-up the price difference to proceed with the order at its non-promotion price, or to cancel their order.

10. After-Sales

In the event of any after-sales issues, please send us an enquiry via your Account, or email us at [email protected]. We will reply to your enquiry within 3-5 working days. If you are not completely satisfied with your purchase, you may file a claim within 3 days from the collection date of your purchase. We reserve the right to not accept any claims brought forward after more than 3 days of collection. Please also refer to our Refund Policy and Limitation of Liability for more information before filing an after-sales enquiry/email.

11. Ship-For-Me Service

Ship-for-Me service provides forwarding service of your parcel from our overseas warehouse (China) to Malaysia. All payment, pre-sales and after-sales issues are to be settled directly with the Seller. Any fees or due payments have to be paid for in full before arrival at our overseas warehouse. Please contact and settle all payments with the respective Sellers before your item reaches us, as we reserve the right to reject the unpaid item upon receipt.  You will provide the unique address from your Account to the Seller to send your order. We will receive your parcels, then you may consolidate and ship to Malaysia. There is no inspection provided.  Please refer to Liability of forwarding service for full details of our Ship-For-Me service.

12. Cancellation, Return, Refunds

a. Cancellation Process

1. Grozent, Buy-For-Me Orders:

   You may request to cancel your order without any repercussions if your Seller has not dispatched your order (order confirm). If you request for a cancellation but your order has already been dispatched, you will be held liable for any fees incurred as a result of your request.

   We reserve the right to cancel your order due to reasons including but not limited to not being able to fulfil request specifications, you not providing alternative SKUs for orders that become unavailable.

2. For Ship-For-Me Orders:

   You may request to cancel your order without any repercussions if your order has not reached our warehouse. If we have received your order, you will be held liable for any fees incurred as a result of your request for cancellation.

b. Return Process 
If the item you received is wrong, damaged or defective, please contact our Customer Service Team and provide your Parcel number, user ID, photos and details of the Product and the reason for return, and whether you require a refund or a replacement. After our Customer Service Team has assessed your claim, you agree to bear an administration fee for each order that you seek to return and all other reasonable carriage costs.

c. Refund Process 
Upon completion of the return process, we will credit the relevant fees to your account balances in a few working days. You may at any time request to withdraw from the account balances to a bank account or credit card if there are no pending payments, and the requested amount shall be remitted to the bank account or credit card (following the mode of original transfer) in 5 or 12 working days respectively. We reserve the rights to change, amend, modify, suspend, continue or terminate all or any part of, current or new, membership & benefits in an individual case or in general, at any time with or without notice. Please refer to our Quick Guide for full details of our membership & benefits 

15. Errors, Inaccuracies and Omissions

Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.

16. Prohibited Uses and Termination

You are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet,  (l) to stalk, harass, or otherwise harm another user of our Services, our employees or third party. We reserve the right to remove any content that is not in accordance to existing laws and regulations or is misleading and inaccurate, without notifying users

17. Limitation of Liability

We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided ‘as is’ and ‘as available’ for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. Without prejudice to the generality of the foregoing, we do not warrant:

(a) the accuracy, timeliness, adequacy, commercial value or completeness of all data and/or information contained in the Platform or the Services; 
(b) that the Platform or the Services will be provided uninterrupted, secure or free from errors or inaccuracies, or that any identified error will be corrected; 
(c) that the Platform or the Services are free from any computer virus or other malicious, destructive or corrupting code, agent or program; and 
(d) the security of any information transmitted by you or to you through the Platform or the Services, and you accept the risk that any information transmitted or received through the Services or the Platform may be accessed by unauthorised third parties and/or disclosed by us or our officers, employees or agents to third parties purporting to be you or purporting to act under your authority. Transmissions over the Internet and electronic mail may be subject to interruption, transmission blackout, delayed transmission due to internet traffic or incorrect data transmission due to the public nature of the Internet. You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without providing prior notice to you.  Continued use of the Site will be deemed to constitute acceptance of the new Terms and Conditions.

In no case shall we, our directors, managers, employees or interns be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.

We shall not be liable for all indirect, ancillary or consequential loss or damage, including but not limited to the loss of profits, business and anticipated savings, even if the risk of such loss or damage was brought to our attention before or after acceptance of the shipment, including but not limited to our failure to perform any of our obligations hereunder as a result of circumstances outside our control including but not limited to the outbreak of war, any governmental act, explosion, accident, civil commotion, riot, industrial dispute, strike, lockout, stoppages or restraint of labour from whatever cause whether partial or general, weather conditions, traffic congestion, mechanical breakdown, obstruction of any mode of transport or other force majeure, including fire, flood or any acts of God.

18. Intellectual Property

We are the sole owner or lawful licensee of all the rights to the Services. The Service embodies trade secrets and intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights in the Services shall remain with us or its affiliates/ licensors. All rights not otherwise claimed under this Agreement or by us are hereby reserved.

We and our related icons and logos are registered trademarks or service marks and are protected under applicable copyright, trademark and other proprietary rights laws. The unauthorized copying, modification, use or publication of these marks is strictly prohibited.

Reproductions of product pictures and descriptions on our Site belong to the respective Sellers and we do not assert or represent by such reproductions to be entitled to any intellectual property rights thereto. The reproduction of any trademark or trade name of any goods is solely for the purpose of indicating to potential buyers the source/ originator of the goods and is not intended to indicate that we are the owners of the mark or name, nor that we are the originators of the goods. We are not responsible for any infringement of any intellectual property right in any reproduction thereof.

19. Reviews

a. You may post reviews, comments, photos, videos, and other content; and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam" or unsolicited commercial electronic messages. You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of a card or other content. We reserve the right (but not the obligation) to remove or edit such content, but does not regularly review posted content.

21. Termination of Use

a. You agree that we may, in our sole discretion, terminate or suspend your access to all or part of the Site with or without notice and for any reason, including, without limitation, breach of these Terms of Use. Any suspected fraudulent, abusive or illegal activity may be grounds for terminating your relationship and may be referred to appropriate law enforcement authorities.

b. Upon termination or suspension, regardless of the reasons therefore, your right to use the Services available on this Site immediately ceases, and you acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or this Site. We shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension or any other actions taken by us in connection with such termination or suspension.

22. Applicable Law and Jurisdiction

This Agreement shall be governed by, and interpreted in accordance with the laws of the People’s Republic of China, and each party irrevocably agrees to submit to the exclusive jurisdiction of the courts of Shanghai, Pudong New District over any claim or matter arising under or in connection with this Agreement.

23. Indemnity

You will indemnify and hold us (including our parent, subsidiaries, and affiliates, and our and their officers, directors, agents and employees) harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of this customer contract, your improper use of our services or your breach of any law or the rights of a third party.

Any typographical, clerical or other error or omission in any acceptance, invoice or other document on our part shall be subject to correction without any liability on our part.
